By engaging MDR Engineering PTY LTD (“MDR Engineering”), purchasing products, approving drawings, or using our services, you acknowledge and agree to these Terms & Conditions.

1. General

These Terms & Conditions govern all products, services, engineering consulting, CAD design, manufacturing, motorsport support, software systems, and related work supplied by MDR Engineering PTY LTD.

MDR Engineering reserves the right to update or modify these Terms & Conditions at any time without prior notice.

2. Quotations & Pricing

All quotations are valid for five (5) days unless otherwise stated in writing.

Prices are exclusive of GST unless otherwise specified.

Freight, shipping, customs duties, taxes, installation costs, and any third-party charges are not included unless expressly stated.

MDR Engineering reserves the right to adjust pricing due to:

- material cost increases;

- supplier pricing changes;

- exchange rate fluctuations;

- scope changes;

- customer-requested revisions; or

- unforeseen manufacturing or engineering requirements.

Previous quotations, historical pricing, repeat-order pricing, or prior project costs are provided for reference only and do not guarantee future pricing. MDR Engineering reserves the right to revise pricing at any time based on material costs, labour, exchange rates, supplier pricing, manufacturing requirements, market conditions, or project scope.

Quotations or invoices issued in foreign currencies, including USD, are subject to exchange rate variations prior to final payment.

Additional work outside the originally agreed scope may incur additional charges.

3. Payment Terms

Deposits may be required prior to commencement of work.

Unless otherwise agreed in writing, all invoices are payable within the stated payment terms.

MDR Engineering reserves the right to suspend work, withhold deliverables, revoke access to software or data systems, or refuse further services in the event of non-payment.

Late payments may incur interest charges, administration fees, debt recovery costs, and legal expenses.

4. Retention of Ownership

All goods, products, designs, drawings, software, deliverables, and related materials supplied by MDR Engineering remain the property of MDR Engineering until paid for in full.

MDR Engineering reserves the right to withhold delivery, revoke access, or recover unpaid goods where payment has not been received in accordance with agreed terms.

5. Customer-Supplied Information

The customer is solely responsible for the accuracy and suitability of all measurements, specifications, models, drawings, concepts, instructions, and information supplied to MDR Engineering.

MDR Engineering accepts no liability for errors, fitment issues, performance issues, manufacturing issues, delays, or failures arising from inaccurate, incomplete, or unsuitable customer-supplied information.

6. Drawings & Approval

Customers must carefully review all drawings, dimensions, specifications, tolerances, materials, finishes, and related details prior to approval.

Approval of drawings constitutes confirmation that all details are correct and approved for manufacture and/or production.

Any changes requested after approval may incur additional charges, engineering fees, and production delays.

Once approval has been provided, the customer accepts full responsibility for the approved design, dimensions, specifications, and fitment.

To the maximum extent permitted by law, MDR Engineering accepts no liability for issues arising after drawing approval.

7. Manufacturing Tolerances & Finish

Unless otherwise agreed in writing, all manufactured, fabricated, machined, laser-cut, folded, welded, coated, or finished components are subject to standard manufacturing tolerances.

Minor cosmetic variations, tooling marks, material variations, weld appearance differences, coating inconsistencies, surface imperfections, or dimensional deviations within reasonable engineering tolerances shall not be considered defects.

8. Intellectual Property

Unless otherwise agreed in writing, all intellectual property rights including but not limited to CAD files, drawings, concepts, software, plugins, engineering calculations, manufacturing methods, tooling, documentation, systems, and related materials remain the sole property of MDR Engineering PTY LTD.

Payment for engineering, design, manufacturing, consulting, or software services does not constitute transfer of intellectual property ownership.

Customers are granted a non-transferable licence to use the supplied products or deliverables solely for their intended purpose.

Customers must not reproduce, distribute, modify, reverse engineer, share, sell, manufacture from, or commercially exploit MDR Engineering intellectual property without prior written consent from MDR Engineering PTY LTD.

9. Motorsport & Competition Use

Motorsport activities involve inherent risks including vehicle damage, mechanical failure, serious injury, and death.

Products and services supplied by MDR Engineering may be used in high-performance, motorsport, or competition environments. The customer accepts all risks associated with installation, use, and operation of such products and services.

To the maximum extent permitted by law, MDR Engineering shall not be liable for any loss, damage, injury, death, race result, vehicle damage, mechanical failure, downtime, or consequential loss arising from the use of its products or services.

10. Warranty & Product Use

Unless otherwise stated in writing, all products and services are supplied “as is”.

MDR Engineering does not guarantee:

- race performance;

- lap time improvements;

- competition results;

- compatibility with third-party components;

- uninterrupted software operation; or

- suitability for any specific purpose.

Any warranty is void where products have been improperly installed, modified, misused, altered, or used outside their intended purpose.

To the maximum extent permitted by law, products are supplied without any guarantee of competition eligibility, regulatory compliance, race performance, or fitness for a particular purpose unless otherwise agreed in writing.

11. Limitation of Liability

To the maximum extent permitted by law, MDR Engineering excludes all liability for indirect, incidental, special, punitive, or consequential loss including but not limited to:

- loss of profits;

- business interruption;

- downtime;

- loss of opportunity;

- vehicle damage;

- race results;

- loss of data; or

- commercial losses.

MDR Engineering’s total liability, whether in contract, tort, negligence, or otherwise, shall not exceed the amount paid by the customer for the relevant products or services.

12. Force Majeure

MDR Engineering shall not be liable for delays or failure to perform obligations due to events beyond its reasonable control, including but not limited to supplier delays, freight delays, material shortages, industrial disputes, natural disasters, power outages, government actions, technical failures, or unforeseen circumstances.

13. Returns & Custom Products

Custom-made, engineered-to-order, fabricated, machined, or specially manufactured products are non-refundable unless otherwise agreed in writing.

MDR Engineering is not obligated to accept returns for approved custom products, manufactured items, or completed engineering work.

Any approved returns may be subject to restocking fees, inspection, and return freight costs.

14. Installation & Fitment

Unless otherwise agreed in writing, the customer is solely responsible for ensuring proper installation, fitment, inspection, maintenance, and use of all products supplied by MDR Engineering.

MDR Engineering accepts no liability for issues arising from improper installation, misuse, modification, lack of maintenance, or use outside intended operating conditions.

15. Third-Party Products & Services

MDR Engineering may utilise third-party products, materials, suppliers, manufacturers, software, or services as part of its work.

MDR Engineering accepts no liability for failures, delays, defects, inaccuracies, or performance issues arising from third-party products or services beyond its reasonable control.

16. Confidentiality

Any confidential, technical, commercial, engineering, motorsport, software, or operational information supplied by either party shall be treated as confidential and must not be disclosed to third parties without prior written consent, unless required by law.

17. Data & Software Systems

While MDR Engineering takes reasonable care in the development and operation of software, plugins, data systems, and related services, MDR Engineering does not guarantee uninterrupted operation, compatibility, or data integrity.

Customers are solely responsible for maintaining appropriate backups of all data, configurations, telemetry, and related information.

18. Competition & Off-Road Use

Certain products supplied by MDR Engineering may be intended for track day, off-road, racing, motorsport, competition, or non-road-use applications only and may not be suitable for public road use.

The customer is solely responsible for ensuring compliance with all applicable laws, regulations, category rules, technical regulations, safety standards, and vehicle requirements prior to installation or use.

19. Portfolio & Promotional Use

Unless otherwise agreed in writing, MDR Engineering reserves the right to photograph, reference, and display completed projects, products, designs, vehicles, or related work for portfolio, promotional, marketing, and social media purposes.

20. Website Information

Information provided on the MDR Engineering website, social media platforms, or promotional materials is for general informational purposes only and may be subject to change without notice.

MDR Engineering does not guarantee the completeness, accuracy, or suitability of such information for any specific application.

21. Severability

If any provision of these Terms & Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

22. Work Experience & Collaboration Opportunities

From time to time, MDR Engineering may provide students, graduates, hobbyists, or industry enthusiasts with opportunities to participate in voluntary learning experiences, portfolio projects, skill assessments, observational activities, or limited evaluation tasks.

Unless otherwise agreed in writing:

- such opportunities are unpaid;

- participation does not constitute employment;

- no employment relationship is created;

- no future work or employment is guaranteed;

- participants are responsible for their own insurance, equipment, and expenses;

- MDR Engineering is under no obligation to use, review, or provide feedback on submitted work.

Any intellectual property, concepts, drawings, CAD models, calculations, or related materials provided by MDR Engineering remain the property of MDR Engineering PTY LTD.

Participants must not disclose confidential information or distribute MDR Engineering materials without prior written consent.

23. Governing Law

These Terms & Conditions are governed by the laws of Victoria, Australia.
